Service Agreement.

1. Services

GroundWork Digital ("Provider") agrees to provide the services described in the accompanying proposal for each individual client engagement, including the specific deliverables, timeline, and pricing for that project or plan.

2. Timeline

Work begins upon receipt of the signed agreement and deposit payment for one-time projects, or upon the first successful subscription payment for subscription plans. Expected completion timelines are set per project, subject to timely receipt of materials from the Client.

3. Payment Terms

3.1 One-Time / Fixed-Price Projects

• A 50% deposit is due before work begins.
• The remaining 50% is due upon project completion and before final files are delivered.
• Payment is accepted via e-Transfer.
• Invoices unpaid after 14 days may result in work being paused.

3.2 Monthly Subscription Plans

• Subscription payments are processed automatically by credit or debit card through our payment processor, Stripe.
• Billing occurs monthly, on the same date each month as the original subscription start date.
• A failed or declined payment will be retried automatically; we will notify you and allow 5 business days to resolve a payment issue before pausing services.
• Updating or removing a saved payment method does not cancel the subscription or remove responsibility for amounts already due.

4. Client Responsibilities

The Client agrees to provide all required materials, including logos, photos, and text, promptly when requested, review and provide feedback on drafts within 5 business days, designate one point of contact, and ensure all provided content is owned by the Client and does not infringe third-party rights.

5. Revisions

Each engagement includes up to 2 rounds of revisions per deliverable. Additional revisions are billed at $75/hour. Revisions must be requested within 14 days of delivery.

6. Ownership & Website Access

6.1 One-Time / Fixed-Price Projects

Upon receipt of final payment, the Client owns all final deliverables created specifically for them. GroundWork Digital retains the right to display completed work in its portfolio unless the Client requests otherwise in writing.

6.2 Monthly Subscription Plans

Unless otherwise agreed in writing, GroundWork Digital retains ownership of the underlying website design, build files, templates, source code, configuration, and hosting setup created as part of a subscription plan. The Client has the right to use the website while their subscription is active and payments are current; GroundWork Digital keeps the site live, hosted, and maintained accordingly.

If payments become overdue, fail, or the subscription is cancelled, GroundWork Digital may suspend access to the website or related services, subject to the notice period in Section 8.2.

Domain names: unless the Client registers their own domain directly in their name, any domain registered by GroundWork Digital on the Client's behalf remains GroundWork Digital's property while the subscription is active, and is addressed as part of any buyout or transfer arrangement.

Client-provided materials, including logos, photos, written content, and business information, remain the Client's property at all times. Following cancellation, the Client has 30 days to request an export of their content before it may be deleted.

Full ownership transfer of a subscription-built site, including source files, design files, code, and administrative control, is not included by default and must be arranged separately in writing, which may involve outstanding balances or a buyout fee.

7. Confidentiality

Both parties agree to keep confidential any proprietary business information shared during the engagement and not disclose it to third parties without written consent.

8. Cancellation

8.1 One-Time / Fixed-Price Projects

• Client may cancel with 14 days written notice.
• The deposit is non-refundable if work has already begun.
• Work completed up to the cancellation date is invoiced at the agreed rate.

8.2 Monthly Subscription Plans

Subscription plans require a minimum initial commitment of 12 months, in recognition of the website build provided at no separate upfront cost. Cancelling before the minimum term is complete may involve an early termination fee, either the remaining months owed on the term, or an agreed buyout amount.

After the minimum term, cancellation is not self-service. Contact us directly by email or phone, with at least 14 days' notice before the next billing date. The subscription remains active and billable during that notice period, and no refunds are issued for partial billing periods.

After cancellation, included services stop and the website may be taken offline, unless a separate hosting, migration, or buyout arrangement is agreed in writing. For any failed or overdue payment, we will notify you and allow 5 business days to resolve it before suspending services. This grace period does not apply to suspension for misuse or breach of the agreement.

9. Limitation of Liability

GroundWork Digital's liability is limited to the total amount paid for services under the agreement. We are not liable for indirect, consequential, or incidental damages including loss of business or revenue.

10. Governing Law

This agreement is governed by the laws of the Province of Quebec, Canada.
